2. Acceptance of Terms
By using our website or purchasing our services, you confirm that:

- You have the authority to enter into an agreement with SoftFYR, where applicable.

The exact scope, features, deliverables, timelines and pricing of a project shall be determined through the applicable quotation, proposal, work order, agreement or other written communication accepted by both parties.
4. Project Scope
Before starting a project, SoftFYR may provide a quotation, proposal, scope document or project plan.
The agreed project scope may include:

- Payment schedule
- Support period
- Other project-specific conditions
Any feature, functionality or requirement not included in the agreed scope may be treated as an additional requirement and may involve additional charges and development time.
5. Pricing and Charges
The price of a service or product will be communicated to the customer through the applicable quotation, pricing page, proposal, invoice or checkout page.
Prices may vary depending on:

- Integrations

- Customisation
- Third-party services
- Maintenance requirements
- Subscription period
Unless specifically stated otherwise, third-party charges such as domain registration, hosting, paid plugins, APIs, licenses, SMS services, payment gateway charges, advertising expenditure and other external services may be charged separately.
6. Taxes
Applicable taxes, including GST or other government-imposed taxes, may be charged in addition to the listed service price where applicable.
The customer shall be responsible for providing accurate billing and tax information where required.
7. Payments
Payments may be collected through online payment methods made available by SoftFYR, including payment gateways, UPI, cards, net banking, bank transfer, payment links or other supported payment methods.
For online payments, SoftFYR may use authorised third-party payment service providers such as Razorpay.
Payment processing may be subject to the terms and policies of the respective payment service provider.
SoftFYR does not store customers’ complete card details, CVV, UPI PIN or other payment credentials on its own systems unless specifically permitted by applicable law and payment-industry requirements.
8. Payment Confirmation
A payment will be considered successfully received when the relevant payment service provider confirms the transaction or the amount is successfully credited/settled to SoftFYR, subject to applicable reconciliation procedures.
In case of:
- Payment failure
- Pending transaction
- Duplicate payment
- Technical error
- Bank reversal
- Chargeback
- Payment gateway issue
the transaction may require additional verification.
Customers should retain their payment confirmation or transaction reference until the transaction is fully resolved.
9. Service Commencement
For paid projects, SoftFYR may begin work after receiving the required advance payment and necessary project information from the customer.
The project timeline may depend on:
- Payment confirmation
- Availability of required content
- Customer approvals
- Access credentials
- Design approvals
- Third-party dependencies
- Technical requirements
Delays caused by incomplete information, delayed approvals or third-party dependencies may affect the project timeline.
10. Customer Responsibilities
The customer is responsible for providing accurate and complete information required for the project.
This may include:
- Business information
- Logo and branding
- Text/content
- Images
- Product information
- Credentials/access
- API keys
- Technical requirements
- Legal documents
- Approvals
- Other necessary materials
The customer must ensure that any content, images, documents, software, trademarks or other materials supplied to SoftFYR are legally owned, licensed or otherwise authorised for use.
11. Customer Content
The customer retains ownership of content and materials supplied by the customer, unless otherwise agreed in writing.
The customer grants SoftFYR permission to use such materials solely to the extent reasonably necessary to provide the agreed services.
The customer is responsible for ensuring that submitted content does not:
- Violate applicable laws
- Infringe intellectual-property rights
- Contain unlawful material
- Contain malicious software
- Mislead users
- Violate third-party rights
12. Intellectual Property
Unless otherwise agreed in writing, SoftFYR retains ownership of its:
- Pre-existing software
- Development frameworks
- Reusable components
- Source libraries
- Templates
- Internal tools
- Development methodologies
- Proprietary technologies
- General-purpose code
- Know-how
Project-specific deliverables may be transferred or licensed to the customer according to the applicable project agreement and payment status.
Full ownership of custom deliverables, source code or other intellectual property shall only transfer where such transfer is specifically agreed in writing.
13. Third-Party Software and Services
A project may require third-party software, platforms, APIs, plugins, themes, hosting providers, cloud services or other external services.
Examples may include:

- Domain registrars
- Payment gateways
- SMS providers
- Email providers
- Google services
- Meta services
- Maps services
- APIs
- Software licenses
Third-party services are subject to their respective terms, pricing, availability and policies.
SoftFYR is not responsible for changes, suspension, downtime, pricing changes or discontinuation of third-party services outside our reasonable control.

Approval, rejection or delay by a third-party app marketplace is outside SoftFYR’s direct control.
Additional development required because of platform policies or changes may be treated as additional work unless otherwise agreed.
16. Digital Marketing Terms
Digital marketing performance depends on several factors, including:

- Competition
- Advertising platforms
- Budget
- Audience
- Product/service quality
- Website quality
- Search-engine algorithms
- Customer behaviour
SoftFYR does not guarantee a specific number of leads, sales, rankings, followers, impressions, conversions or revenue unless a specific written guarantee has been expressly agreed.
Advertising budgets paid to third-party advertising platforms are separate from SoftFYR’s service charges unless otherwise stated.
17. SaaS Products
SoftFYR may offer SaaS products such as DocYori and Salary Wire through subscription plans.
SaaS subscriptions may be subject to:
- Plan-specific pricing
- Subscription duration
- Feature limitations
- User limits
- Storage limitations
- Usage limitations
- Fair-use requirements
- Product-specific terms
The features and pricing of SaaS products may be changed, improved or updated from time to time.
18. DocYori
DocYori is a Clinic Management Software platform.
Customers using DocYori are responsible for:
- Information entered into the platform
- Accuracy of information
- User access
- Appropriate permissions
- Compliance with applicable healthcare, privacy and data-protection requirements
- Maintaining confidentiality of their users and customers
DocYori is a software management platform and does not independently provide medical diagnosis, medical advice or medical treatment.
SoftFYR is not responsible for medical decisions made by healthcare professionals using the software.
19. Salary Wire
Salary Wire is an HRMS Software platform designed to assist businesses with employee and HR-related management.
Customers are responsible for:
- Employee information entered into the system
- Accuracy of payroll information
- User permissions
- Compliance with employment laws
- Compliance with applicable tax requirements
- Compliance with applicable labour regulations
Salary Wire provides software functionality and does not constitute legal, tax, accounting or employment-law advice.
20. Subscription and Renewal
Where a SaaS product is offered on a subscription basis, the applicable subscription period and renewal terms will be displayed at the time of purchase.
Unless explicitly stated otherwise, subscription renewal will not be assumed merely because a previous subscription has expired.
Customers may need to manually renew their subscription or follow the applicable renewal mechanism provided by SoftFYR.
21. Service Delivery and Acceptance
After delivery of a project or milestone, the customer may be required to review and approve the deliverables.
If the customer requests changes that are outside the agreed scope, such changes may be treated as additional work.
The customer is responsible for reviewing the final deliverables and communicating any reasonable issues within the applicable review/support period.
22. Revisions and Changes
The number of revisions included in a project may depend on the applicable quotation or agreement.
Changes to previously approved:
- Design
- Features
- Functionality
- Content
- Architecture
- Workflow
may require additional time or charges.
23. Cancellation by Customer
A customer may request cancellation of a service or project by contacting SoftFYR.
Cancellation will be governed by the applicable Cancellation and Refund Policy, quotation, proposal or service agreement.
Where development work, resources or third-party expenses have already been incurred, the amount eligible for refund may be reduced accordingly, subject to the applicable refund policy.
24. Refunds
Refunds are governed by SoftFYR’s separate Cancellation & Refund Policy.
The refund policy should be reviewed before purchasing any service or subscription.
Where a refund is approved, it may be processed through the original payment method or another appropriate method, subject to payment-provider procedures.
Third-party transaction charges may be non-refundable where applicable.
25. Project Termination
SoftFYR may suspend or terminate a project or service if:
- Payments remain overdue
- The customer materially breaches these Terms
- The customer provides unlawful content
- The customer engages in abusive or fraudulent behaviour
- The project becomes legally or technically impossible
- Continued service creates security or compliance risks
Where appropriate, SoftFYR may provide reasonable notice before termination.
26. Account Security
Where our services require an account, the customer is responsible for:
- Maintaining login confidentiality
- Using strong passwords
- Restricting account access
- Not sharing credentials without authorisation
- Informing SoftFYR of suspected unauthorised access
Customers should not share passwords, OTPs, payment credentials or confidential authentication information with unauthorised persons.
27. Prohibited Use
You agree not to use SoftFYR’s website, services or products to:
- Conduct unlawful activities
- Commit fraud
- Distribute malware
- Violate intellectual-property rights
- Attempt unauthorised access
- Abuse or attack our systems
- Interfere with service availability
- Circumvent security controls

SoftFYR reserves the right to suspend access where misuse or unlawful activity is reasonably suspected.
